Partner Code Of Conduct

  1. Introduction

Welcome2Africa International Limited (“W2A” or “the Company”) is committed to conducting its operations and partnerships in accordance with the highest standards of ethics, integrity, and responsible business conduct. This Partner Code of Conduct (“the Code”) sets out the minimum standards expected of all partners, suppliers, vendors, consultants, service providers, investors, and other third parties engaged in any business relationship with W2A.

This Code is informed by the United Nations Guiding Principles on Business and Human Rights (UNGPs), the International Labour Organization (ILO) Declaration on Fundamental Principles and Rights at Work, and the Universal Declaration of Human Rights (UDHR). These international frameworks reflect W2A’s commitment to responsible business practices, human dignity, and sustainable development across all its engagements.

All partners are expected to uphold the principles set out in this Code and ensure that their own employees, agents, subcontractors, and representatives comply with equivalent standards.

  1. Ethical Business Conduct

All partners shall conduct business with W2A in a manner that reflects honesty, transparency, and accountability. Partners are expected to:

  • Act with integrity in all dealings and communications;
  • Avoid any form of misrepresentation, fraud, or deceptive practices;
  • Maintain accurate records and provide truthful information when required; and
  • Refrain from engaging in any conduct that could harm W2A’s reputation or interests.
  1. Anti-Corruption and Bribery

W2A maintains a zero-tolerance approach to bribery and corruption. Partners shall:

  • Not offer, promise, give, request, or accept any bribe or improper advantage;
  • Refrain from facilitation payments or any unofficial payments;
  • Ensure compliance with all applicable anti-corruption and anti-money laundering laws; and
  • Maintain internal controls to prevent corrupt practices within their organisation.
  1. Human Rights and Labour Standards

Partners are required to respect and uphold internationally recognised human rights principles, including:

  • Prohibition of forced labour, child labour, and human trafficking;
  • Respect for freedom of association and lawful collective bargaining;
  • Fair treatment, non-discrimination, and equal opportunity in employment practices; and
  • Provision of fair and lawful wages and working conditions in compliance with applicable labour laws.
  1. Health, Safety, and Environment

Partners shall maintain safe, healthy, and environmentally responsible operations. Accordingly, partners are expected to:

  • Comply with all applicable health and safety laws and regulations;
  • Provide a safe working environment for employees, contractors, and visitors;
  • Take reasonable steps to prevent workplace accidents and occupational hazards;
  • Implement environmentally responsible practices that minimise harm, pollution, and resource wastage; and
  • Support sustainable business practices in line with applicable environmental standards.
  1. Confidentiality and Data Protection

Partners shall protect all confidential, proprietary, and sensitive information obtained in the course of their relationship with W2A. This includes, but is not limited to, business information, financial data, client information, and strategic materials.

Partners must not disclose such information to any third party without prior written consent from W2A, except where required by law.

Partners are also expected to comply with applicable data protection and privacy laws and ensure that personal data is processed lawfully, securely, and transparently.

  1. Conflict of Interest

Partners must avoid any situation that may give rise to a conflict of interest, whether actual, potential, or perceived. Any such conflict must be disclosed promptly to W2A. Partners must not use their relationship with W2A to gain unfair advantage or personal benefit.

  1. Compliance with Laws and Regulations

Partners shall comply with all applicable local and relevant international laws, regulations, and industry standards relevant to their engagement with W2A.

  1. General Provision

This Code establishes the minimum standards expected of all partners and does not limit W2A’s right to impose additional requirements where necessary. Compliance with this Code is a fundamental condition of doing business with W2A.
